Non-Disclosure & Non-Circumvention Agreement

This Agreement is between Australian Career Pathways (ACP) and the referral agent identified below ("Agent").

1. Confidential Information. Confidential Information includes, without limitation, all candidate details, employer/client details, fee structures, commercial terms, and business information disclosed by ACP to the Agent in connection with recruitment referral activities.

2. Non-Disclosure. The Agent agrees to keep all Confidential Information strictly confidential and will not disclose it to any third party without ACP's prior written consent, except as required by law.

3. Non-Circumvention. The Agent agrees not to directly or indirectly approach, solicit, or transact with any candidate or employer introduced by ACP for the purpose of circumventing ACP, during the engagement and for two (2) years after it ends.

4. No Unauthorised Representation. The Agent will not make any promises, representations, or commitments on behalf of ACP without ACP's prior written authorisation.

5. Term. This Agreement remains in effect for the duration of the engagement and for two (2) years following its termination.

6. Governing Law. This Agreement is governed by the laws of Queensland, Australia.
